Board of Directors
The structure of the Board of Directors consists of members in the number
that is suitable for the size and business strategy of the Company, but shall
be no less than 5 members and at least half of the members shall have their
residence in the Kingdom of Thailand. In addition, at least one-third (1/3) of
the members shall be independent directors and in any case the independent
directors shall not be less than 3 members.
As of 31 May 2022, the Board of Directors consisted of 12 members, one of 14.25 66.67%
whom is female (or equivalent to 8.33% of total directors) divided into:
• 4 members as executive directors (or equivalent to 33.33% of total directors); Average Tenure of Directors
and (years)
• 8 members as non-executive directors (or equivalent to 66.67% of total 33.33%
directors), 6 of whom are independent directors, which is greater than 1/3
of the total number of directors.
